The timeline varies depending on the legal structure, documentation readiness and public registry workload, but typically ranges from three to six weeks from the moment all required information is available. We keep you informed throughout and manage every interaction with the relevant authorities. Delays are most often caused by incomplete documentation at the start of the process.
A Sociedad Limitada requires a minimum share capital of €1, with no maximum. The capital must be fully subscribed and paid at the time of incorporation. We advise on the appropriate amount based on your business activity, sector requirements and practical operational needs.
Yes. A foreign legal entity can hold 100% of the shares of a Spanish SL. The foreign company will need to provide a certified and apostilled company register certificate, along with a sworn translation into Spanish. We coordinate the translation and documentation requirements as part of the process.
Once incorporated, the company must register with the Spanish Tax Agency, obtain a fiscal identification number (NIF), activate its VAT registration and, where applicable, register for Intrastat, SII or Verifactu. If employees are hired, Social Security registration is also required, and it’s worth confirming the correct working relationship from the start, to avoid the risks associated with false freelancers in Spain. A branch is a direct extension of the parent company, without a separate legal identity, meaning the parent company assumes full liability. A subsidiary is an independent Spanish legal entity — typically an SL — with its own governance, liability and tax obligations. In most cases, incorporating a subsidiary is more appropriate for international companies planning ongoing operations in Spain.
